Purpose

This Crowdfunding Refund Policy establishes how cancellations and refunds are handled for payments made through the Brachy Breeze crowdfunding campaign.

The campaign provides two ways to participate:

Community Support allows supporters to contribute an amount of their choosing toward the continued development and operation of Brachy Breeze. Community Support does not reserve a carrier or create a future purchase credit.

Founding Customer Reservations allow prospective customers to make a $500 Founding Customer Reservation supporting continued product development and market validation while establishing a position within the First 1,000 Founding Customer cohort.

If Brachy Breeze reaches commercial production and offers the carrier for purchase, the full $500 reservation amount associated with an active reservation will be credited toward the Customer’s purchase.

Because these pathways create different customer relationships and obligations, different cancellation and refund terms apply to each.

Our Approach to Campaign Funds

Brachy Breeze is being built with the support of a community that cares deeply about the health, comfort, and safety of the animals we share our lives with.

The crowdfunding campaign supports continued product development, market validation, business operations, and preparation for the next stage of financing and potential commercial production.

Community Support and Founding Customer Reservations serve different purposes within that campaign.

Community Support provides flexible financial support without creating a future product credit.

Founding Customer Reservations create a continuing customer relationship and a contingent future $500 purchase credit if Brachy Breeze reaches commercial production and offers the carrier for purchase.

Brachy Breeze cannot guarantee every outcome of product development.

We can commit to stewarding campaign resources responsibly, pursuing a viable path toward commercial production, communicating material developments candidly, maintaining appropriate financial and operational oversight, and honoring applicable customer rights.

This policy establishes the ordinary cancellation and refund structure intended for the campaign.

Nothing in this policy eliminates cancellation, refund, delay-consent, or other customer rights that cannot lawfully be waived.

Community Support Contributions

Community Support contributions provide flexible funding for continued Brachy Breeze development and operations.

A Community Support contribution:

Community Support contributions are therefore generally non-refundable once completed, except where Brachy Breeze elects to provide a refund or applicable law requires otherwise.

Supporters should contribute only an amount they are comfortable committing to the development effort.

Founding Customer Reservation Cancellation Window

Founding Customers have 14 calendar days from the date of reservation to reconsider their participation.

During this period, the Customer may request cancellation of the reservation and a full refund of the $500 reservation amount.

No reason for cancellation is required.

A cancellation request must be submitted through an approved Brachy Breeze customer support channel before expiration of the 14-day cancellation period.

Once an eligible cancellation request is received:

Actual posting time after a refund is initiated may depend on the payment processor, financial institution, payment method, or other systems outside Brachy Breeze’s control.

Any non-waivable cancellation or refund right provided by applicable law continues to apply regardless of the 14-day campaign cancellation policy.

Committed Founding Customer Reservations

If a Founding Customer Reservation is not canceled during the applicable 14-day cancellation period, it becomes a Committed Reservation under the campaign policy.

A Committed Reservation represents the Customer’s continued participation in the Founding Customer program after receiving a defined opportunity to reconsider that participation.

After commitment, the reservation is generally non-refundable for ordinary voluntary Customer cancellation, subject to:

Committed status does not independently establish that reservation-backed cash is legally unrestricted or fully available for development use.

Reservation-backed cash may be used only to the extent permitted by applicable law and approved Brachy Breeze financial controls.

The full $500 future purchase credit remains associated with an active Committed Reservation if Brachy Breeze reaches commercial production and offers the carrier for purchase.

Development & Production Uncertainty

Brachy Breeze remains under product development.

Market validation, engineering, testing, financing, manufacturing preparation, regulatory requirements, supply-chain development, and other conditions may affect whether and how Brachy Breeze reaches commercial production.

Commercial production and fulfillment are not guaranteed.

Product specifications, manufacturing plans, pricing, anticipated timelines, production strategy, and other conditions may change as development progresses.

Maintaining a reservation beyond the 14-day cancellation period does not waive customer rights that arise from applicable law, material changes, legally regulated shipment obligations, inability to fulfill, or other circumstances addressed by governing customer agreements.

Permanent Discontinuation of Development

Brachy Breeze may ultimately determine that commercial production cannot responsibly proceed.

If Brachy Breeze permanently discontinues development, the company will communicate that decision to affected Founding Customers and address outstanding reservations according to:

Brachy Breeze does not represent through this policy that a specific refund outcome can be guaranteed following permanent discontinuation before applicable legal obligations have been determined.

Where applicable law requires cancellation, refund, or another remedy following discontinuation, that requirement will control.

Nothing in this policy represents a guarantee that Brachy Breeze LLC’s founder, team members, professional service providers, or other individuals will personally fund company refund obligations.

Material Changes

Brachy Breeze remains in development, and reasonable changes to product design, specifications, pricing, manufacturing plans, production strategy, and anticipated timing may occur.

Ordinary development changes do not automatically create a campaign refund right after the 14-day cancellation period.

Brachy Breeze will communicate material developments affecting Founding Customers as appropriate.

Where a change materially affects the nature of the Customer’s reservation or creates a cancellation, consent, refund, or other right under applicable law or the governing customer agreement, Brachy Breeze will provide the required options and disclosures.

Brachy Breeze may also elect to provide additional cancellation or refund options where circumstances warrant.

Production, Shipment & Delay Rights

Customer-facing production, shipment, or delivery representations will be established separately as Brachy Breeze’s production planning develops.

If applicable law creates cancellation, delay-consent, refund, or other rights because Brachy Breeze cannot meet a customer-facing production or shipment commitment, those rights will be honored.

The general non-refundable status of a Committed Reservation will not be used to eliminate a legally required cancellation or refund right arising from production delay, inability to fulfill, or another regulated circumstance.

International Reservations

Brachy Breeze may accept Founding Customer Reservations from customers outside the United States where permitted.

International product availability and fulfillment remain subject to applicable laws, product requirements, certifications, customs, shipping capabilities, taxes, duties, logistics, and Brachy Breeze’s ability to responsibly serve the destination market.

Domestic United States availability and fulfillment are expected to be established before broader international fulfillment.

An international Founding Customer Reservation does not guarantee that Brachy Breeze will ultimately become available for purchase or fulfillment within the Customer’s country.

International Customers will not be asked to complete a future product purchase until Brachy Breeze confirms that the product is available for purchase and fulfillment within the applicable destination.

If Brachy Breeze determines that it cannot legally or practically support an active international reservation, the Customer may be provided the refund, cancellation, conversion, or other options required by the Founding Customer Reservation Agreement, this policy, and applicable law.

Where legally permissible, the Customer may choose to convert the $500 reservation amount to Community Support.

Conversion is voluntary and requires affirmative Customer authorization.

Applicable local cancellation and refund rights will be honored.

Reservation Transfers

A Customer who no longer intends to maintain a Founding Customer Reservation may request to transfer the reservation to another person according to the Founding Customer Reservation Agreement.

The Founding Customer position and corresponding $500 future purchase credit transfer together.

A transfer does not constitute a refund.

Transfers must be formally documented and confirmed by Brachy Breeze before becoming effective.

Future Product Purchase

A Founding Customer Reservation is separate from any future completed product purchase.

If Brachy Breeze reaches commercial production and offers the carrier for purchase, active Founding Customers will receive instructions and applicable product-sale terms before completing a purchase.

The full $500 reservation amount will be credited toward the future purchase while the reservation remains active.

Customers will generally have 30 days from issuance of the future purchase request to complete the purchase unless another arrangement is approved or different terms are established by the applicable product-sale agreement.

Brachy Breeze will provide reasonable reminders and make a reasonable effort to contact the Customer before treating a reservation as expired because the Customer has not completed the future purchase.

Expired Reservations

A Founding Customer Reservation may expire when:

An expired reservation is not ordinarily eligible for a voluntary Customer refund unless otherwise provided by Brachy Breeze policy or required by applicable law.

Company-Approved Exceptions

Brachy Breeze may approve a refund outside the circumstances expressly established by this policy when the company determines that doing so is reasonable and appropriate.

Approval of an exception in one circumstance does not automatically create a right to the same exception for another Customer or establish a permanent modification to this policy.

Any approved exception should be documented in Brachy Breeze customer and financial records.

Refund Processing

Approved refunds will generally be returned through the original payment method where reasonably possible.

Customers may be required to provide information necessary to verify the original transaction, identity, reservation, or payment method before a refund is processed.

Brachy Breeze is responsible for initiating an approved refund.

The time required for funds to appear after processing may depend on payment processors, banks, card issuers, or other third parties.

Brachy Breeze will not require a Customer to convert an otherwise eligible refund into Community Support, store credit, or another form of compensation.

Finished Product Purchases

This policy applies specifically to payments made through the Brachy Breeze crowdfunding campaign.

It does not establish the return, refund, warranty, repair, replacement, or customer-service policies that will apply to future completed purchases of finished Brachy Breeze products.

If Brachy Breeze reaches commercial production, applicable product-sale terms will be established before Founding Customers are asked to complete their product purchases.

Those terms will include the return, refund, warranty, and customer-service policies appropriate to the finished product.

Participation in the crowdfunding campaign does not waive any non-waivable rights applicable to a future completed product purchase.

Applicable Law

Brachy Breeze will honor non-waivable refund, cancellation, consent, and consumer rights required by applicable law.

If a provision of this policy conflicts with a legal right that cannot lawfully be waived, the applicable legal requirement controls to the extent of that conflict.

Relationship to Other Campaign Documents

Founding Customer Reservations are additionally governed by the Founding Customer Reservation Agreement accepted at the time of reservation.

This Refund Policy establishes campaign cancellation and refund practices.

The Founding Customer Reservation Agreement establishes the broader rights and responsibilities associated with participation in the Founding Customer program.

The Founding Customer Market Validation & Product Development Addendum may provide additional context concerning the development-stage and market-validation structure of the campaign.

The applicable Terms & Conditions establish broader website and campaign requirements. Where documents address the same reservation-specific subject, the more specific governing agreement controls unless applicable law requires otherwise.
