Purpose
This Founding Customer Reservation Agreement (“Agreement”) establishes the terms governing participation in the Brachy Breeze First 1,000 Founding Customer reservation program.
By submitting a $500 Founding Customer Reservation and accepting this Agreement, the reservation holder (“Customer”) establishes a position within the First 1,000 Founding Customer cohort and participates in the next stage of Brachy Breeze product development and market validation.
If Brachy Breeze reaches commercial production and offers the carrier for purchase, the Customer’s full $500 reservation amount will be credited toward the Customer’s purchase, subject to the terms established below.
Brachy Breeze is currently in product development. The reservation is not the purchase of a completed product currently available for shipment, and commercial production is not guaranteed.
The reservation program supports continued development while allowing Brachy Breeze to measure meaningful customer demand before committing to production at scale.
Founding Customer Reservation
The Customer will pay $500 at the time the Founding Customer Reservation is submitted.
The reservation:
- establishes the Customer’s position within the First 1,000 Founding Customer cohort;
- supports continued Brachy Breeze product development and market validation;
- provides the Customer with a full $500 future purchase credit if Brachy Breeze reaches commercial production and offers the carrier for purchase;
- is not payment for a completed product currently available for shipment;
- does not guarantee that Brachy Breeze will reach commercial production;
- does not establish or guarantee the final retail price of a future Brachy Breeze carrier;
- does not create equity, ownership, investment, profit-sharing, or another financial interest in Brachy Breeze LLC; and
- is subject to the cancellation, refund, transfer, expiration, future-purchase, and other terms established by this Agreement.
Brachy Breeze will maintain a record of the Customer’s reservation and corresponding $500 future purchase credit.
Estimated Product Price
The current estimated manufacturer’s suggested retail price (“MSRP”) for a Brachy Breeze carrier is approximately $2,000.
This amount is an estimate only. Final retail pricing has not yet been established and may change as product development, engineering, testing, manufacturing, supply-chain planning, regulatory requirements, financial modeling, and other production considerations progress.
The Customer’s future purchase credit will remain $500 regardless of changes to the final retail price while the reservation remains active.
If Brachy Breeze reaches commercial production and offers the carrier for purchase, Brachy Breeze will communicate the final retail price, applicable Founding Customer pricing, remaining purchase amount, and applicable product-sale terms before the Customer is asked to complete a purchase.
Founding Customer Benefits
Customers participating in the First 1,000 reservation program will be recognized as Brachy Breeze Founding Customers.
Founding Customer participation includes:
- a position within the First 1,000 Founding Customer cohort;
- a full $500 future purchase credit if Brachy Breeze reaches commercial production and offers the carrier for purchase;
- preferred Founding Customer pricing if and when final purchase terms are established;
- priority access associated with the Founding Customer program, subject to final production and fulfillment planning; and
- campaign and development updates as Brachy Breeze progresses through development and market validation.
The specific Founding Customer pricing benefit will be established before any final purchase and communicated with the applicable purchase terms.
Founding Customer status does not guarantee a specific unit number, manufacturing batch, shipping sequence, production date, delivery date, or availability within a particular country unless separately confirmed by Brachy Breeze in writing.
Product Development
Brachy Breeze remains a product under development.
Product specifications, components, features, materials, dimensions, appearance, manufacturing methods, suppliers, certifications, pricing, production plans, and anticipated timelines may change as development progresses.
Brachy Breeze may make changes as necessary to improve product quality, safety, manufacturability, regulatory compliance, financial sustainability, or customer experience.
Brachy Breeze intends to maintain high professional standards throughout product development and will communicate material changes affecting Founding Customers as appropriate.
Production & Fulfillment
Brachy Breeze is working toward commercial production but has not guaranteed that commercial production will occur.
Production and fulfillment depend on factors that may include:
- product testing;
- engineering;
- manufacturing;
- tooling;
- suppliers;
- certifications;
- financing;
- regulatory requirements;
- logistics;
- market validation; and
- other conditions involved in bringing a new physical product to market.
Brachy Breeze will provide material development updates to Founding Customers as information becomes available.
Any customer-facing shipment or delivery commitment established in the future will be communicated according to applicable product-sale terms and legal requirements.
Use of Reservation Funds
The Founding Customer Reservation supports Brachy Breeze’s continued product development and market-validation process.
Reservation-backed cash may become available to support development and preparation for production, including:
- product development and engineering;
- prototyping and testing;
- tooling and manufacturing preparation;
- professional services;
- business operations;
- financial planning and management;
- customer and technology infrastructure; and
- other expenses reasonably associated with advancing Brachy Breeze toward commercial production.
The extent to which reservation-backed cash may be used will be determined according to applicable law and Brachy Breeze financial controls.
Expiration of the 14-day cancellation period does not by itself establish that reservation-backed cash is legally unrestricted or fully available for development use.
Use of reservation-backed cash, where permitted, does not eliminate the Customer’s $500 future purchase credit. Brachy Breeze will continue to recognize the full $500 credit according to this Agreement unless the reservation is transferred, canceled, refunded, expired, or otherwise resolved under the applicable terms.
Development Uncertainty
Bringing a new physical product to market involves genuine uncertainty.
Brachy Breeze intends to pursue a viable path toward commercial production using the combined product, financial, operational, creative, and professional expertise supporting the business.
The Founding Customer program is part of that process. Reservation activity provides both financial support and meaningful evidence of prospective customer demand.
Commercial production and fulfillment are not guaranteed.
Brachy Breeze cannot guarantee that market validation, engineering, financing, manufacturing preparation, regulatory requirements, supply-chain development, or other conditions will ultimately support commercial production.
If Brachy Breeze permanently discontinues development, the company will communicate that decision to affected Founding Customers and address outstanding reservations according to this Agreement, the Crowdfunding Refund Policy, Brachy Breeze’s financial position, applicable law, and any additional legal requirements governing the reservation.
Nothing in this Agreement limits a refund, cancellation, or other remedy that cannot lawfully be waived.
Reservation Cancellation & Commitment
Founding Customers have 14 calendar days from the date of reservation to reconsider their participation.
During this cancellation period, the Customer may request cancellation of the reservation and a full refund of the $500 reservation amount. No reason for cancellation is required.
A cancellation request must be submitted through a Brachy Breeze customer support channel before expiration of the 14-day cancellation period.
If a qualifying cancellation request is received:
- the reservation will be canceled;
- the Customer’s Founding Customer position will be released;
- the associated $500 future purchase credit will be canceled; and
- the $500 reservation amount will be submitted for refund through the applicable payment system.
Actual posting time after a refund is issued may depend on the payment processor, financial institution, payment method, or other systems outside Brachy Breeze’s control.
If the Customer does not cancel during the 14-day period, the reservation becomes a Committed Reservation.
A Committed Reservation represents the Customer’s continued participation in the Founding Customer program following the defined cancellation opportunity.
After commitment, the reservation is generally non-refundable for voluntary Customer cancellation, subject to the Crowdfunding Refund Policy, this Agreement, applicable exceptions, and applicable law.
Committed status does not independently establish that the corresponding reservation-backed cash is legally unrestricted or fully available for development use.
Refunds after the cancellation period may nevertheless be available where:
- provided by Brachy Breeze policy;
- Brachy Breeze determines that it cannot legally or practically fulfill an eligible international reservation;
- Brachy Breeze elects to provide a refund under circumstances it determines appropriate; or
- required by applicable law.
Nothing in this Agreement is intended to limit any non-waivable cancellation, refund, or other right or remedy available to the Customer under applicable law.
The Crowdfunding Refund Policy applies specifically to campaign participation and provides additional information concerning cancellation and refund eligibility.
A future completed purchase of a finished Brachy Breeze product will be governed by separate product-sale terms, including applicable return, refund, warranty, and customer-service policies. Founding Customers will have an opportunity to review those terms before completing a future purchase.
Future Product Purchase
If Brachy Breeze reaches commercial production and offers the carrier for purchase, Founding Customers with active reservations will receive instructions for completing a separate product purchase.
The purchase request is expected to identify:
- final retail price;
- $500 Founding Customer credit;
- applicable Founding Customer pricing;
- remaining purchase amount;
- applicable taxes and charges;
- purchase deadline;
- current production and fulfillment information; and
- applicable product-sale terms.
The Customer will have 30 days from issuance of the purchase request to complete the purchase unless another arrangement is approved by Brachy Breeze or different terms are established in the applicable product-sale agreement.
The Customer will have an opportunity to review the terms governing the finished product before completing the purchase.
Payment of the remaining purchase amount completes a separate product purchase governed by those product-sale terms.
Payment Assistance & Extensions
Brachy Breeze recognizes that a Customer may remain interested in purchasing the product while requiring additional time or payment flexibility.
Customers who need assistance should contact Brachy Breeze before the applicable purchase deadline.
Where available and appropriate, Brachy Breeze may offer or facilitate:
- payment plans;
- third-party financing options;
- courtesy extensions; or
- other reasonable payment arrangements.
Availability of payment assistance is not guaranteed and may depend on the options and circumstances existing at the time.
Any approved payment arrangement or extension must be documented by Brachy Breeze.
Expired Reservations
Brachy Breeze will provide reasonable reminders during an applicable future purchase window and make a reasonable effort to contact the Customer before treating a reservation as expired for non-response or failure to complete a future purchase.
A reservation may be considered expired when:
- Brachy Breeze has offered the carrier for purchase to the Customer;
- the applicable purchase deadline has passed;
- the Customer has not completed the purchase;
- no payment arrangement or extension has been approved; and
- the Customer has not responded following reasonable outreach.
If a reservation expires:
- the Founding Customer Reservation terminates;
- the Customer’s Founding Customer position may be released;
- the associated $500 future purchase credit terminates; and
- the $500 reservation amount will be handled according to this Agreement, the Crowdfunding Refund Policy, applicable financial and accounting policies, and applicable law.
No additional restocking fee applies unless a future policy establishes one and the fee is appropriately disclosed before becoming applicable.
Reservation Transfers
A reservation may be transferred to another person before it expires or is converted into a completed product purchase.
Transfers must be formally documented and confirmed by Brachy Breeze.
At minimum, the transfer record must identify:
- reservation number;
- original Customer;
- new reservation holder;
- current contact information;
- date of transfer; and
- acceptance of the applicable reservation terms by the new reservation holder.
The Founding Customer position and corresponding $500 future purchase credit transfer together.
A transfer is not complete until Brachy Breeze updates its official reservation records and confirms the transfer.
Brachy Breeze may require a standardized Reservation Transfer Form or other reasonable documentation.
International Reservations
Brachy Breeze may accept reservations from customers outside the United States where permitted by applicable requirements and available payment and commerce systems.
Domestic United States availability and fulfillment are expected to be established before broader international fulfillment.
International product availability remains subject to applicable laws, product requirements, certifications, customs, shipping capabilities, taxes, duties, logistics, and Brachy Breeze’s ability to responsibly serve the destination market.
An international reservation does not guarantee that Brachy Breeze will ultimately become available for purchase or fulfillment in the Customer’s country.
International Founding Customers will not be asked to complete a future product purchase until Brachy Breeze confirms that the product is available for purchase and fulfillment in their destination.
If Brachy Breeze determines that it cannot legally or practically support an active international reservation, the reservation will be addressed according to the Crowdfunding Refund Policy, this Agreement, applicable law, and any available Community Support conversion option.
Where legally permissible, conversion of a reservation amount to Community Support requires the Customer’s affirmative authorization.
International Customers retain any additional non-waivable rights provided by applicable law.
Customer Communications
The Customer is responsible for maintaining current contact information with Brachy Breeze.
Brachy Breeze may use the contact information associated with the reservation to provide communications reasonably necessary to administer the reservation, including:
- product and campaign updates;
- material changes affecting the reservation;
- future purchase information and reminders;
- production and fulfillment information;
- policy or agreement updates;
- legally required notices; and
- required Customer actions.
Marketing communications will be handled separately according to applicable consent requirements and Brachy Breeze privacy practices.
Relationship to Other Policies
This Agreement governs participation in the First 1,000 Founding Customer reservation program.
Additional terms and policies may separately govern Community Support contributions, use of the Brachy Breeze website, privacy, payment processing, and any future purchase and use of a finished Brachy Breeze product.
The Crowdfunding Refund Policy forms part of the campaign terms applicable to the reservation.
Where this Agreement and the Crowdfunding Refund Policy address the same reservation-specific subject, this Agreement controls unless applicable law requires otherwise.
Future product-sale terms do not retroactively alter the conditions governing the original reservation. They govern the separate purchase and use of the finished product.
Changes to This Agreement
Brachy Breeze may make reasonable administrative or operational updates to the reservation program as development progresses.
Brachy Breeze will not materially reduce an active Customer’s $500 future purchase credit without the Customer’s agreement or another lawful basis.
Material changes affecting an existing Customer’s rights or obligations will be communicated as appropriate and handled according to applicable law.
Nothing in this section establishes that notice alone is sufficient to modify an existing Customer’s contractual rights where affirmative consent or another legal requirement applies.
Acceptance
By submitting the $500 Founding Customer Reservation and affirmatively accepting this Agreement, the Customer acknowledges and agrees that:
- Brachy Breeze remains under development;
- the reservation is not the purchase of a completed product currently available for shipment;
- commercial production and fulfillment are not guaranteed;
- approximately $2,000 is an estimated MSRP and the final retail price may change;
- if Brachy Breeze reaches commercial production and offers the carrier for purchase, the Customer’s full $500 reservation amount will be credited toward that purchase;
- the reservation supports continued product development and market validation;
- reservation-backed cash may be used during development only to the extent permitted by applicable law and Brachy Breeze financial controls;
- the Customer may cancel the reservation and request a full refund during the 14-calendar-day cancellation period;
- after the cancellation period, the reservation becomes a Committed Reservation and is generally non-refundable for voluntary Customer cancellation, subject to the Crowdfunding Refund Policy, applicable exceptions, and applicable law;
- product specifications, pricing, manufacturing plans, production timing, and availability may change;
- future product purchases will be governed by separate product-sale terms; and
- participation does not create an equity, investment, ownership, or profit-sharing interest in Brachy Breeze LLC.
By completing the reservation, the Customer confirms acceptance of this Agreement.
